1. Agreement to Terms
By engaging 404 Ajans for any service — including web design, web development, or digital marketing — you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not proceed with a project engagement.
2. Services Provided
404 Ajans offers web design, custom web development, e-commerce solutions, digital marketing, and software product development. The specific scope of work for each project is defined in a written project brief or proposal agreed upon before work begins. Any additions to the agreed scope constitute a separate engagement and will be quoted accordingly.
3. Project Process
Our standard project process follows four phases: Discovery (requirements gathering and strategy), Design (visual concepts and prototyping), Development (coding and testing), and Launch (deployment and handover). Timelines for each phase will be agreed upon in writing before the project starts. Delays caused by client-side feedback latency may extend the timeline without additional cost.
4. Payment Terms
A non-refundable deposit of 50% of the total project fee is required before work begins. The remaining 50% is due upon project completion and before the final deliverables or live deployment are handed over. For ongoing retainer services, invoices are issued monthly and are due within 14 days of issuance. Late payments may incur a 2% monthly interest charge.
5. Revisions
Each project phase includes up to three rounds of revisions based on the original agreed scope. Revisions that introduce new requirements, fundamentally alter the design direction, or exceed the agreed number of rounds will be quoted separately. Revision requests must be submitted in writing (email or a project management tool).
6. Intellectual Property
Upon receipt of full payment, the client receives full ownership of the final creative deliverables (design files, source code, written content produced by 404 Ajans). 404 Ajans retains the right to display the completed work in its portfolio and marketing materials unless the client requests otherwise in writing. Third-party assets (stock images, fonts, plugins, libraries) remain subject to their respective licenses.
7. Client Responsibilities
The client is responsible for providing timely feedback, supplying required content (text, images, brand assets), and ensuring that all materials provided to 404 Ajans do not infringe on any third-party intellectual property rights. 404 Ajans is not liable for delays or issues arising from incomplete or late client content.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project engagement. This obligation survives the termination of the project. 404 Ajans will not disclose client business information, unreleased products, or strategies to any third party without written permission.
9. Limitation of Liability
404 Ajans's total liability to the client for any claim arising from or related to a project shall not exceed the total fees paid by the client for that specific project. 404 Ajans is not liable for indirect, incidental, special, or consequential damages, including loss of revenue or business opportunity.
10. Termination
Either party may terminate a project engagement with 14 days' written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date, pro-rated against the total project fee. The initial 50% deposit is non-refundable regardless of termination.
11. Governing Law
These Terms of Service are governed by the laws of the Republic of Turkey. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.
12. Changes to These Terms
We may revise these Terms of Service from time to time. The "Last updated" date at the top of this page reflects the most recent revision. For active project engagements, the terms in effect at the time of the project agreement apply.
